Interpretation and Definitions
Definitions
For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Company (referred to as "the Company", "Starsitez", "We", "Us", or "Our") refers to Starsitez.
Country refers to: California, United States.
Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.
Package means any one-time product offered by the Company through the Service (for example, the Template Website Package or the Custom Website Package).
Payment Processor means Stripe, Inc., the third party that processes payments on Our behalf.
Service refers to the Starsitez platform website, the tenant sites We operate, and any related software, applications, or services provided by Us.
Subscription means a recurring service that You purchase from Us (such as a monthly or yearly maintenance plan).
Tenant Site means a Service instance operated by Us for a specific customer group.
Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions, which form the entire agreement between You and the Company regarding the use of the Service.
Third-Party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available by the Service.
You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
Acknowledgment
These Terms govern Your use of the Service and the agreement that operates between You and the Company. By accessing or using the Service, or by purchasing a Package or Subscription, You agree to be bound by these Terms. If You disagree with any part of these Terms then You may not access the Service.
You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service or to purchase Packages or Subscriptions.
Your use of the Service is also conditioned on Your acceptance of and compliance with Our Privacy Policy. Please read the Privacy Policy carefully before using the Service.
Purchases, Pricing, and Payment
When You purchase a Package or Subscription through the Service, You agree to provide current, complete, and accurate purchase and account information.
All payments are processed by Our Payment Processor, Stripe. By making a purchase, You also agree to Stripe's terms of service. We do not store Your full payment card details.
Prices for Packages and Subscriptions are displayed in United States dollars (USD) unless otherwise stated. All prices are exclusive of any taxes that may apply; You are responsible for any taxes imposed by Your jurisdiction.
First-time customers may be subject to a one-time launch fee in addition to the price of the Package, as disclosed at checkout.
Subscriptions
Some of Our Services are offered on a Subscription basis (for example, monthly or yearly maintenance plans). Your Subscription will automatically renew at the end of each billing cycle at the then-current rate unless You cancel it before the renewal date.
You may cancel Your Subscription at any time by contacting Us at [email protected]. Cancellation takes effect at the end of the current billing period; You will continue to have access to the Subscription's benefits until that period ends.
If a payment fails (for example, due to an expired card), We may retry the charge and may suspend the Subscription until the payment succeeds. If the payment remains unpaid after a reasonable period, the Subscription may be terminated.
Refunds and Cancellations
Because Packages involve custom work performed by Us, payments for Packages are generally non-refundable once work has begun. If You believe You are entitled to a refund, please contact Us at [email protected] within 14 days of purchase and We will review Your request in good faith.
Subscription payments are non-refundable for any partial billing period. If You cancel Your Subscription, You will retain access through the end of the billing period You have already paid for.
Nothing in this section limits any non-waivable consumer rights You may have under the laws of Your jurisdiction.
Scope of Services and Maintenance Plans
Each Package and Subscription includes the specific features and services disclosed on the Service at the time of purchase. Major redesigns, entirely new systems, and work outside the scope of a maintenance plan are not included in Subscriptions and may be quoted separately.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe the intellectual property, privacy, or other rights of any third party;
- Upload or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
- Interfere with or disrupt the Service, Our servers, or networks connected to the Service;
- Attempt to gain unauthorized access to any part of the Service or to another user's account;
- Submit false or misleading information in any form, dashboard, or moderation tool provided by the Service.
Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately.
Termination does not entitle You to a refund of any prepaid fees except as expressly provided in these Terms or required by applicable law.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms, and Your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by You through the Service in the twelve (12) months preceding the event giving rise to the liability, or 100 USD if You have not purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the Service.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In those jurisdictions, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You.
Governing Law
The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes Resolution

For European Union (EU) Users
If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation
These Terms may have been translated if We have made them available to You on Our Service. You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using the Service.
